At first glance, registering a business in Poland seems straightforward. Online systems, document templates, and advertising slogans like “Start your company in 15 minutes” create an illusion of ease. However, in practice, most entrepreneurs, especially foreigners, face legal, procedural, and strategic challenges right from the application stage.

Many entrepreneurs include the abbreviation “Sp. z o.o.” as part of the brand name (e.g., “GreenTech Sp. z o.o.”), forgetting that it is a legal form, not part of the company name as understood by the National Court Register (KRS). The name must be unique and correspond to the business profile. For example, if you create a law firm and the name includes the word “Café,” you may encounter problems during verification.

When registering via the S24 system or through a notary, it is crucial to select the appropriate district court branch. Incorrect jurisdiction will result in document returns and delays of at least 7–14 days. This mistake often happens to those submitting documents online without legal support.
From the moment of signing the founding documents, you have 7 days to submit documents to the KRS and 21 days to register with the tax office (US), statistics office (GUS), and social insurance institution (ZUS). Missing these deadlines may result in administrative penalties and call the validity of the registration into question.
Advice: Submit documents within 48 hours after signing to avoid unexpected delays.
The articles of association are the foundation of your Sp. z o.o. operation. Improper execution, especially when signed by multiple founders or in different languages, may lead to non-recognition of the agreement or require notarial amendments.
